Users can tokenize their points, trade them before a Token Generation Event (TGE), and redeem them for real tokens after launch. ## Five Core Contracts Central configuration hub managing active points programs, tokens, and settlement rules. Tokenizes offchain points. Users submit offchain points with an oracle signature and receive a deposit receipt. Verifies offchain point claims through cryptographic signatures, ensuring the system stays trustless. Decentralized order book for pre-TGE trading with 1:1 or collateral-weighted escrow minting depending on market design. Distributes real tokens and any defaulted seller USDC collateral post-TGE using program-wide settlement ratios. Each points program also has a deposit receipt (`chXXX-R`) and an escrow token (`chXXX`). ## Account Model Checkpoint does not treat the transaction sender as the only user identity. * `account` is an [ERC-7930](https://eips.ethereum.org/EIPS/eip-7930) representation of the underlying points holder, such as an EOA * `operator` is the smart wallet currently allowed to act for that account onchain ## How It Works ### Phase 1: Deposit Points You sign your points claim offchain with the oracle, then submit a deposit transaction. You receive a [**deposit receipt**](/core-products/checkpoint-point-nfts) that proves the deposit and tracks your points history. ### Phase 2: Trade Before TGE, you can trade your points with other users on the [Market contract](/architecture/market-trading). Buyers mint escrow tokens either 1:1 or through collateral weighting depending on the market. ### Phase 3: Settlement Once the real token launches, you redeem your [escrow tokens](/architecture/points-tokenization#2-escrow-token-chxxx-tokens) for the actual token at a determined ratio. ## Key Concepts | Concept | Description | | ----------------------- | ----------------------------------------------------------------------------------------------------- | | **Deposit Receipt** | Non-transferable receipt proving your point deposit and tracking history | | **Escrow Tokens** | A program-wide settlement claim minted either 1:1 or via collateral weighting depending on the market | | **Oracle Verification** | Cryptographic validation that your offchain points exist | | **Settlement** | Program-wide distribution of tokens and overdue USDC post-TGE | ## Pre-TGE vs Post-TGE | Aspect | Pre-TGE | Post-TGE | | ---------------------- | --------------------------- | -------------------------------------------- | | **Your Tokens** | Escrow tokens | Actual project tokens and any defaulted USDC | | **Can Trade?** | Yes, via Market contract | No, you own the real tokens | | **Collateral Needed?** | Yes, trades require backing | No, direct ownership | | **Where?** | Checkpoint Market | Any DEX/exchange | | **Settlement** | Coming soon | Completed | ## Crosschain Support For projects launching on multiple chains, LayerZero integration enables: * Escrow tokens on multiple chains before TGE * Crosschain settlement after token launch * Consistent settlement accounting across chains # Market Trading Source: https://docs.checkpoint.exchange/architecture/market-trading Architecture for buying and selling points before TGE # Market Trading The Market contract is a decentralized order book for buying and selling tokenized points before TGE. It handles offer creation, collateral validation, escrow minting, and routing filled offers into settlement. ## How Offers Work ### What is an Offer? An offer is a binding commitment to trade points at a specific price with optional or required USDC collateral backing, depending on the market configuration. **Example**: "I'll sell you 500 of my points for 50 USDC, and I'm putting up 50 USDC as collateral to guarantee this deal." ### Collateral Collateral is posted in USDC and held by the market until the offer is settled, cancelled, or moved into overdue settlement. Markets that cannot directly escrow or custody the underlying points can use collateral-weighted minting to reduce seller default risk. Those markets can define: * whether collateral is enforced * a minimum collateral weight an offer must satisfy * an ideal USDC collateral per point target On those markets, the ideal collateral target drives weighted minting of `chXXX` on fill. Higher collateral generally means a higher mint weight, subject to the escrow token's cap. On markets where Checkpoint can escrow the underlying points directly, buyers mint `chXXX` 1:1 with the filled points amount as usual. ### Offer Status | Status | Description | | ----------------------------- | ---------------------------------------------------------------------------------------------------------------------------------------------------- | | OFFER\_CREATED | The offer is new and waiting for buyers to fill it. | | OFFER\_FILLED\_PARTIAL | The offer has been partially filled by one or more buyers, with more supply remaining. | | OFFER\_FILLED | The offer is completely filled by buyers. | | OFFER\_SETTLED | The offer has been settled with tokens provided to the Settlement contract for buyers to claim. | | OFFER\_SETTLED\_WITH\_VESTING | The offer has been settled but has a vesting schedule. Tokens unlock gradually over time. | | OFFER\_CANCELLED | The offer was cancelled by the maker before any fills, and collateral was returned. | | OFFER\_OVERDUE\_SETTLED | The settlement deadline passed without the seller settling. The offer's filled USDC and collateral were moved into the program-wide settlement pool. | ### Creating a Sell Offer ```mermaid theme={null} sequenceDiagram actor Maker participant Market participant Deposit Receipt Maker->>Market: Creates offer Market-->>Deposit Receipt: Verifies maker has enough available points Maker->>Market: Posts USDC collateral Market-->>Deposit Receipt: Puts a hold on the points selling ``` All offers include the amount of points to sell, the price in USDC, and the collateral amount in USDC. Offers can be cancelled with collateral returned minus any configured cancellation fee, as long as they have no existing fills. You must have a valid deposit receipt with enough available points to create an offer. ### Filling an Offer When you see an offer you want to accept, you fill it as a buyer: ```mermaid theme={null} graph LR A["You see
seller's offer"] B["You fill
the offer"] C["You send USDC
to the Market"] D["You receive
escrow tokens"] A --> B --> C --> D ``` To fill an offer, you send USDC to the `Market` contract. The escrow mint path depends on the market type: * on standard escrowable markets, buyers mint `chXXX` 1:1 with the filled points amount * on non-custodial markets, buyers mint from the offer's **collateral weight** At a high level: * the market either mints 1:1 or computes a weight from the offer's collateral versus the market's ideal collateral per point * on weighted markets, the escrow token uses that weight to mint a discounted, neutral, or bonused amount of `chXXX` * the protocol may also mint additional escrow tokens to the treasury via `fillExtra` The seller does not receive the buyer's USDC until settlement. Their collateral is only returned on successful settlement, or after vesting completes for vesting offers. Once an offer is filled, both the maker and filler cannot cancel or reverse it. ### Partial Fills Offers can be filled multiple times if there's enough supply. This means multiple buyers can participate in the same offer, each getting a share of the points without the seller needing to create separate offers. Consider this example: A seller creates an offer for 1000 points for 100 USDC. Three buyers fill it partially over time: | Step | Buyer | Amount | Price | Remaining | Status | | ---- | ------- | ------- | ------- | --------- | ---------------- | | 1 | Buyer 1 | 400 pts | 40 USDC | 600 pts | PARTIALLY FILLED | | 2 | Buyer 2 | 300 pts | 30 USDC | 300 pts | PARTIALLY FILLED | | 3 | Buyer 3 | 300 pts | 30 USDC | 0 pts | FILLED | The seller collects 100 USDC total but reaches three different buyers without creating separate offers. ### Cancelling Offers You can cancel an offer if no one has filled it yet: ```mermaid theme={null} graph LR A["Offer is live"] B["You cancel it"] C["Points unheld"] D["Collateral returned"] E["Offer cancelled"] A --> B --> C --> D --> E ``` When you cancel an offer, your held points return to available so you can use them elsewhere. Your collateral is returned to you, and the offer becomes inactive. You can only cancel an offer if it hasn't been filled at all. Once someone fills even part of it, you can't cancel anymore. If there's a cancellation fee configured, it will be deducted from your returned collateral. ### Shortfall of Points Points balances may unexpectedly change after an offer is created. If a seller's points decrease, they may not have enough points to fulfill all their offers. In this case, fillers can call `settlePointsChange()` to recover their USDC. **Example:** 1. Seller deposits 500 points 2. Seller creates an offer for 500 points at 100 USDC 3. Filler fills the offer, paying 100 USDC and receiving the escrow amount minted for that market 4. Seller's points drop to 300 (due to an external points program update) 5. Filler calls `settlePointsChange()` to settle with the new points balance **What happens:** * Filler must return the full escrow amount minted from that fill, which is then burned by the market * Filler receives their USDC back in full * Seller's held points are released * The filler is able to fill the offer again with the new points balance If after settling there are no fillers left, the offer is able to be cancelled by the seller. ## Settlement ### Standard Settlement The normal path when the seller provides tokens before the settlement deadline: ```mermaid theme={null} sequenceDiagram actor Seller participant Market participant Settlement actor Filler Seller->>Market: settleOffer() Market-->>Market: Validates settlement not overdue Seller->>Market: Approves tokens to contract Market->>Settlement: Deposits seller's tokens Market-->>Seller: Sends USDC (minus fee) Market-->>Seller: Returns collateral Settlement->>Filler: Tokens available to claim ``` When TGE happens and the actual token launches, the seller calls `settleOffer()` to finalize the deal. The market validates that the settlement has not passed the deadline, takes the seller's tokens, deposits them to `Settlement`, and sends the filled USDC proceeds to the seller minus the configured settlement fee. The seller also gets their collateral back unless the offer is under vesting settlement. Importantly, buyer claims are settled against the **program-wide settlement distribution**, not directly against a single offer. Each settled offer contributes inventory into that shared distribution. ### Crosschain Settlement This is useful when the points program is on a different chain than the Market. Create an offer on one chain, the buyer fills it, but the token launches on another chain. To settle: 1. Provide tokens to the `RemoteSettlement` contract on the token's chain 2. Call `settleOfferViaOracle()` on `Market` with the chain ID, transaction hash, and Oracle signature 3. The oracle verifies the settlement, and the Market sends you USDC and collateral back The filler can then claim their tokens from `RemoteSettlement` just like standard settlement. ### Partial Fills If the offer is partially filled, the seller only needs to provide the percentage of tokens that was filled. **Formula:** $\text{tokensToSend} = \left\lfloor \frac{\text{tokenAmount} \times \text{filledAmount}}{\text{price}} \right\rfloor$ **Example:** * Offer: 1000 points for 100 USDC * Buyers fill 60 USDC total (60% of the offer) * Seller only needs to provide 60% of the final token amount assigned to that offer Each buyer receives their proportional share when they claim from `Settlement` or `RemoteSettlement`. ### Vesting Settlement For token programs with vesting schedules, settlement happens in multiple phases: ```mermaid theme={null} sequenceDiagram participant Seller participant Market participant Oracle participant Settlement participant Buyer Seller->>Market: Calls settleOffer() Note over Seller,Market: Seller sends non-vested tokens
to Settlement contract Market->>Oracle: Gets currently claimable tokens Market->>Settlement: Deposits non-vested tokens Market-->>Seller: Sends USDC (minus fee) Note over Market,Settlement: Vesting period active
Tokens stream to buyer rect rgba(148, 173, 7, 0.1) Note over Oracle,Buyer: Vesting period active Settlement-->>Buyer: Tokens unlock gradually end Seller->>Market: Calls completeVestingSettlement() Market->>Oracle: Verifies vesting is complete Market-->>Seller: Returns collateral ``` When a token has a vesting schedule, settlement works differently: 1. **Initial Settlement (`settleOffer()`)**: The seller calls `settleOffer()` and sends only the tokens that are not vested (the currently claimable tokens according to the oracle's vesting schedule). These non-vested tokens are deposited to the Settlement contract and become available for the buyer to claim immediately. 2. **Vesting Period**: As time passes, the remaining vested tokens unlock gradually according to the vesting schedule. The oracle tracks when each tranche of tokens becomes claimable. The buyer can claim these tokens from the Settlement contract as they unlock. 3. **Complete Settlement (`completeVestingSettlement()`)**: Once the vesting period is fully complete, the seller calls `completeVestingSettlement()`. The oracle verifies that vesting has completed, and the seller finally receives their collateral back. The key difference from standard settlement is that the seller's collateral is held as security through the entire vesting period until all tokens have been vested and delivered to the buyer. ### Overdue Settlement When a seller fails to settle by the deadline, the overdue offer is not resolved buyer-by-buyer. Instead, its filled USDC plus seller collateral is moved into the settlement contract as a **program-wide USDC pool** for that points market. ```mermaid theme={null} graph LR A["Settlement deadline
passes"] B["Seller hasn't settled
the offer"] C["Buyer calls
settleOverdueOffer()"] D["Filled USDC + collateral
move to settlement pool"] E["Pool is redistributed
pro-rata at distribution"] A --> B --> C --> D C --> E ``` #### Settlement Process When `settleOverdueOffer()` is called after the deadline: 1. The offer's filled USDC and seller collateral are deposited into `Settlement` 2. That amount increases the USDC pool tracked for the entire points program 3. Escrow holders later claim a pro-rata share of that pooled USDC during distribution 4. There is no separate overdue fee in the current settlement flow The redistribution is global to the market's points program. It is based on escrow balances at distribution time, not on a direct per-offer refund path. ## Fee Structure The market currently exposes three main fee levers: * **Settlement fee**: taken from seller proceeds when `settleOffer()` or `settleOfferViaOracle()` succeeds * **Cancellation fee**: taken from seller collateral when cancelling an unfilled offer * **Fill extra**: extra escrow tokens minted to the fee recipient on every fill `fillExtra` is a small inflation at the escrow-token layer used for seeding liquidity. It increases total escrow supply rather than deducting USDC from the buyer or seller. # Oracle System Source: https://docs.checkpoint.exchange/architecture/oracle-system Cryptographic verification of offchain points # Oracle System The Oracle is Checkpoint's verification layer. It queries offchain points APIs, generates cryptographic signatures to prove the data is legitimate, and the blockchain verifies these signatures trustlessly. For deposits, the flow is now split into two steps: 1. The account owner signs a short-lived authorization for a specific `pointsId` and `operator`. 2. The oracle verifies that authorization, fetches the latest points balance, and signs the deposit claim that the `Deposit` contract checks onchain. This keeps the points holder account and the EVM wallet submitting the transaction explicitly separate. ## The Problem It Solves How do we know users really have the points they claim without requiring projects to set up special infrastructure? * **Option 1: Require database access**: Projects expose their database, which is risky and adds work * **Option 2: Require special APIs**: Projects build custom endpoints just for Checkpoint * **Option 3: Query existing APIs**: The oracle uses the project's existing API and signs the verified result Even though the data comes directly from the project's own API, verification is fully trustless. The contracts verify the oracle signature before a deposit or settlement can proceed. ## How It Works ```mermaid theme={null} sequenceDiagram actor Owner as Account Owner actor Operator as Onchain Operator participant Oracle as Oracle Service participant PointsAPI as Project API participant Deposit as Deposit Contract participant OracleContract as Oracle Contract Owner->>Oracle: POST /claim/deposit/authorization Oracle-->>Owner: nonce, expiry, typedData Owner->>Owner: Sign typedData Owner->>Oracle: POST /claim/deposit Oracle->>PointsAPI: Fetch latest points balance PointsAPI-->>Oracle: Points balance Oracle-->>Owner: claim + oracle signature Operator->>Deposit: deposit(pointsId, account, amount, expiry, signature) Deposit->>OracleContract: verifyDepositClaim(...) ``` ## Account Model * `account` is the canonical ERC-7930 representation of the underlying points holder, such as an EOA * `operator` is the EVM wallet allowed to perform the onchain deposit for that account * The oracle normalizes the input account before signing or verifying claims For a portable EVM account without an embedded chain reference, the canonical ERC-7930 encoding is: ```text theme={null} 0x000100000014<20-byte-address> ``` For example, the account for `0xd8dA6BF26964aF9D7eEd9e03E53415D37aA96045` is: ```text theme={null} 0x000100000014d8da6bf26964af9d7eed9e03e53415d37aa96045 ``` ## Easy Project Integration **Anyone can integrate their project into Checkpoint** To get your project's points integrated into Checkpoint's Oracle system and the [Points Aggregator](https://checkpoint.exchange/) simply create an adapter in the [points-adapters](https://github.com/0xPortalLabs/points-adapters) repository. #### How It Works An adapter is a simple piece of code that: 1. Takes a user's account identifier as input 2. Queries your project's existing points API 3. Returns the points data in a standardized format #### What You Need to Do * **Create an adapter** using standard web APIs * **Define key exports**: `fetch`, `data`, `total`, and optional `rank` and `deprecated` * **Submit a pull request** to the [points-adapters](https://github.com/0xPortalLabs/points-adapters) repository No need to build custom infrastructure, expose your database, or create special endpoints. Later, when your offer is filled on the market, **ERC20 tokens** are minted. This two-stage design creates security and efficiency: ### 1. Deposit Receipt (chXXX-R tokens) Minted immediately at deposit. A non-transferable receipt that proves you deposited X amount of points and tracks changes to your points amount over time. This receipt is your proof of deposit and is required to create offers on the market. Referenced as the `DepositReceipt` contract. **onchain points data**: Point balance changes are tracked onchain via the [Oracle](./oracle-system#tracking-historical-changes), which internally uses [OpenZeppelin's Checkpoints](https://github.com/OpenZeppelin/openzeppelin-contracts/blob/master/contracts/utils/structs/Checkpoints.sol) library to maintain an immutable record of all balance updates. This data is queryable onchain via the deposit receipt. ```solidity getAccountData theme={null} function getAccountData(bytes calldata account) external view returns ( uint256 depositedAmount, uint256 heldAmount, uint256 latestPointsAmount, uint48 latestClaimTime, address operator, bytes memory account ); ``` ```solidity getAccountCumulativeDelta theme={null} function getAccountCumulativeDelta(bytes calldata account, uint48 start, uint48 end) external view returns (uint256 upper, uint256 lower); ``` ```solidity getAccountHistoricalPoints theme={null} function getAccountHistoricalPoints(bytes calldata account) external view returns (Checkpoints.Checkpoint208[] memory res); ``` ### 2. Escrow Token (chXXX tokens) Minted when someone fills your offer on `Market`. There are two minting paths: * **Custodied or escrowable markets**: buyers mint `chXXX` 1:1 against the filled points amount * **Non-custodial markets**: buyers mint `chXXX` using **collateral-weighted minting** to account for seller default risk when the protocol cannot directly escrow the underlying points For the collateral-weighted path, each market can define an **ideal USDC collateral per point** target. When an offer is filled, the protocol compares the seller's posted collateral against that market target and derives a collateral weight. That weight then feeds the escrow token mint curve: * below the ideal collateral target, buyers mint fewer `chXXX` than raw points filled * at the ideal collateral target, buyers mint at the default/neutral rate * above the ideal collateral target, buyers can mint more `chXXX`, up to the escrow token's max weight cap This means two offers for the same number of points can mint different amounts of `chXXX` on non-custodial markets depending on how much collateral backs each offer. As a result this promotes sellers to back the offers with more collateral, win-win. Referenced as the `EscrowToken` contract. **Fill extra** On every fill, the market can also mint an extra amount of escrow tokens to the protocol treasury using the `fillExtra` config. This is a small inflationary escrow-side fee, not an additional USDC charge taken from the buyer or the seller and is used for seeding escrow token liquidity. ### Weighted Mint Curve On non-custodial markets, the weighted mint path uses the `WeightedCurve` library to convert a collateral weight into a mint multiplier. The curve constants are: * `C_MIN = 0.05` * `ALPHA = 0.7` * `R_MAX = 0.5` * `K = 1.8` * `IDEAL_WEIGHT_BPS = 10_000` (100%) * `MAX_WEIGHT_BPS = 30_000` (300%) First, the market derives a normalized collateral ratio: $$ weight = \min(\text{weightBps}, \text{maxWeightBps}) $$ $$ c = \frac{weight}{\text{idealWeightBps}} $$ Then the mint multiplier $m$ is computed piecewise: $$ m(c) = \begin{cases} 0, & c \le C_{MIN} \\ \left(\frac{c - C_{MIN}}{1 - C_{MIN}}\right)^{\alpha}, & C_{MIN} < c \le 1 \\ 1 + R_{MAX}\left(1 - e^{-K(c - 1)}\right), & c > 1 \end{cases} $$ So the weighted escrow token mint amount is: $$ \text{mintedAmount} = \left\lfloor \text{pointsAmount} \times m(c) \right\rfloor $$ This gives the curve three useful regions: * **Below 5% of ideal collateral**: minting is zero * **From 5% to 100% of ideal collateral**: minting increases with a concave penalty curve * **Above 100% of ideal collateral**: minting receives a bonus that saturates toward the max weight ### Example Curve Assume a market sets the **ideal collateral per point** to **`$0.01 USDC`**. That means: $$ \text{weightBps} = \frac{\text{collateralPerPoint}}{0.01} \times 10{,}000 $$ with `IDEAL_WEIGHT_BPS = 10_000` and `MAX_WEIGHT_BPS = 30_000`. ```mermaid theme={null} xychart-beta title "Collateral Per Point vs Mint Multiplier" x-axis "USDC collateral per point" [0, 0.0005, 0.001, 0.0025, 0.005, 0.0075, 0.01, 0.015, 0.02, 0.03] y-axis "Mint multiplier" 0 --> 1.5 line [0.0000, 0.0000, 0.1273, 0.3360, 0.5927, 0.8075, 1.0000, 1.2967, 1.4174, 1.4863] ``` **On Protocol Token Generation Event (TGE)**: * The escrow tokens are redeemable for the real tokens at a given ratio determined by `Settlement` The redemption ratio is calculated as: $\text{tokenRatio} = \left\lfloor \frac{\text{totalTokenAmount} \times \text{RATIO\_PRECISION}}{\text{totalEscrowSupply}} \right\rfloor$ Where: * **totalTokenAmount** => `ERC20(TGEToken).balanceOf(address(settlement))` * **RATIO\_PRECISION** => 10\*\*18 * **totalEscrowSupply** => `ERC20(escrowToken).totalSupply()` Final settlement is based on your share of the total escrow supply for that points program, not on a fixed points-to-token conversion that is pre-determined. ## Hold System When you create an offer to sell points in the [Market](/architecture/market-trading), your points are "held" temporarily and are freed when the offer is cancelled. * **Held points**: Reserved for your pending trade * **Available points**: Free to use or trade elsewhere * **Total points**: Held + Available = Your complete balance # Program Settlement Source: https://docs.checkpoint.exchange/architecture/program-settlement Settlement, Post-TGE token distribution and market closure # Program Settlement Settlement is the final step: converting escrow (`chXXX`) balances into the actual distributed token allocation for a points program. For projects launching on a chain we do not natively settle the tokens on, Checkpoint uses [LayerZero v2](https://layerzero.network/) to coordinate distribution across chains seamlessly. ## What is Settlement? Settlement is the process that happens after TGE (Token Generation Event) where: 1. The project token launches on one or more blockchains 2. Sellers settle filled offers, or overdue offers are pushed into default handling 3. Checkpoint snapshots a program-wide distribution 4. Escrow holders claim their pro-rata share of tokens, plus any pooled USDC from overdue offers Escrow tokens conversion is only one way and CANNOT be reversed. ## The Timeline ```mermaid theme={null} timeline title Escrow tokens to TGE tokens journey Before TGE : Users deposit points and trade on market TGE : Project launches token After TGE : Sellers begin settling filled offers Settlement Window : Sellers have until settlement deadline to settle their offers : Overdue offers move USDC + collateral into the program pool Post-Settlement : Distribution snapshot is finalized for escrow holders ``` ## Settlement Settlement is **global per points program**, not a direct 1:1 or per-offer redemption flow. `Settlement` tracks a shared distribution snapshot for each `pointsId` containing: * total token amount deposited for the program * total USDC accumulated from overdue/defaulted offers * total escrow supply at distribution time * token ratio used for claims Once the distribution is settled, claims are calculated pro-rata from that shared snapshot. ### Same-chain settlement For programs launching on the same chain as `Settlement`, users claim through `claimDistribution(pointsId)`. On claim: 1. The claimant transfers their escrow tokens into `Settlement` 2. The contract calculates their token share from the program's `tokenRatio` 3. The contract also calculates their share of the pooled USDC from overdue/defaulted offers 4. Both amounts are sent to the claimant Users can either claim directly or wait for any announced distribution process by Checkpoint. Claims are based on your escrow balance relative to the full settlement snapshot for that program. ### Settlement on another chain For projects launching on a different chain, users must interact with the `RemoteSettlement` contract on that relevant chain. Checkpoint stores the program distribution snapshot on `Settlement`. Anyone can then relay the settlement data to the remote settlement contract with `sendSettlementMessage()`. Just like with the same chain settlement, users can either claim the distribution directly via `claimDistribution()` or they can wait for an airdrop to their wallet which will be announced by Checkpoint well in advance if done so. You will need to bridge the escrow tokens to the relevant chain before claiming. ## Defaulted and overdue offers If a seller misses the settlement deadline, the market calls `depositCollateral()` with: $\text{filledAmount} + \text{collateralAmount}$ Where: * `filledAmount` is the purchase amount of the offer * `collateralAmount` is the collateral amount in USDC provided by the seller, if applicable That amount is added to the USDC pool for the entire points program. It is later redistributed pro-rata to escrow holders during claims. # Brand Guidelines Source: https://docs.checkpoint.exchange/brand/index Logos, colors, typography, and voice for Checkpoint # Checkpoint Brand Guidelines Checkpoint is a points ecosystem that connects points programs (45+ and counting), enabling users, builders, and projects to easily **check, track, display, develop, tokenize, and trade points**. ## Typography and Visual Identity Typography is an important part of Checkpoint’s brand and visual identity. The emphasis on ASCII as visual representation of Checkpoint is rooted in the ambition of creating the fastest, most lightweight and intricate application, that is simultaneously very difficult for LLM to mimic, interpret, and reproduce. ### VT323 VT323 is the primary font for Checkpoint. Letter spacing changes based on hierarchy: headings are more compact (-5 to -10%) while paragraphs retain their original spacing. We use no variations and no font weight. ### Inter We use Inter to increase legibility for data and long descriptions. Inter is interchangeable with VT323 for paragraphs and readable text. All variations of Inter are acceptable. As a general rule, we use heavier font weights for headlines and lighter forms for information. You can also use typography colors to accentuate elements instead of changing font weights. ### ASCII Headers For ASCII headers, we combine fonts where the fills are converted to characters. These should always be retro fonts like VT323, Arcade Quest, or Bitmap Pixel. ### ASCII Fill The fills of our ASCII content vary. We generally use VT323, but any **monospaced** font works if the character widths are the same. For font-based ASCII art, a general character fill is enough. Monospaced fonts have characters occupying the same horizontal space. ## Static Content For other content that has pixels, it varies. All images rendered in pixels contain a white and black value, that most ASCII conversion software converts to the characters to fill. For static images, there are three distinct techniques used when producing content, and they all revolve around the colour values of the **background** and not the subject. These examples are a baseline for consistency. When in doubt, **creative direction and campaign context take precedence**. #### Neutral Backgrounds These are images with significant whitespace. In these cases, we accentuate the lighter parts of the subject with ASCII characters. We use darker ASCII colors for the borders, but we avoid using them for shadow accentuation. You can introduce ASCII values outside of the subject wherever it makes the content more interesting or aligns with a campaign. The remainder of the whitespace is used for visual font accentuations or other elements that make the content more interesting or more aligned with a campaign. Neutral background static content example #### Full Backgrounds These images have high variation in pixel values and limited whitespace. When this is the case, the main subject is fully converted to a very light `#FFFFFF` or very dark `#000000` value. To do so, the subject is cut out of the image, and the dark and white values are rearranged with FX (Curves, Levels and/or Exposure) to attain the desired effect. Then for the cutout an ASCII effect is placed. The important part is that the subject itself is the whitespace, guiding the attention towards it. Full background static content example #### Colorful Backgrounds When using images with high saturation colors that contrast our monochromatic theme, we accentuate the subjects with ASCII overlays. We do not need to cut these subjects out. Instead, we overlay the characters by tweaking opacity or adjusting the blending modes. Colorful background static content example ### Aspect Ratio For social media content preferred aspect ratios include: * 1.91:1 (1200x630) * 1:1 (1080x1080) * 16:9 (1920x1080) * 9:16 (1080x1920) * 19.5:9 (1284x2778) ## Colors Checkpoint uses a monochromatic design theme for user-facing applications. | Token | Dark Theme | Light Theme | | ------------------ | ---------- | ----------- | | `--background` | `#1a1a1a` | `#ffffff` | | `--background-b` | `#272727` | `#dddddd` | | `--input-bg` | `#111111` | `#dddddd` | | `--input-hover-bg` | `#272727` | `#cccccc` | | `--font` | `#d5d5d5` | `#2d2d2d` | | `--sub-font` | `#777777` | `#777777` | | `--highlight-font` | `#fdfdfd` | `#0b0b0b` | ## Brand Voice Whenever possible and relevant, avoid emojis and AI gibberish (filler adjectives) and indentations. Instead, use ASCII emojis or unicode. * **Tone**: Informal, direct, and humorous * **Style**: Sincere, conversational, and human ### Messaging Pillars 1. **Owned value, not rented points**\ Merit carries value; points are inherently valuable, users provide value to initiatives which in turn reward that value with points. Checkpoint turns them into tangible value. 2. **Check and track every point. Trade, build, and own the value**\ Points are not just balances; they are a running log of everything users have contributed. Checkpoint keeps the receipts so people can replay their history, move it between ecosystems, and cash in on the work they already did. 3. **Lightweight stack, programmable points**\ We keep the infrastructure razor-thin so points can move anywhere. We treat every balance as a programmable primitive, not just a static number on a dashboard, so the ecosystem can build with them. Learn more about Checkpoints focus and goals. ### One Liner > **Check, track, trade and tokenize points across any project and chain.** #### ELI5 (onchainers) Check and track every point you own in one spot. Back your points on Checkpoint to tokenize and trade them. Move your value, or acquire contributions and the value they carry. #### ELI5 (nonchainers) Imagine if you could trade any points you have. Missing a point to book a flight? Have unused points you want to sell for cash? Checkpoint turns your points into internet money so you can actually buy or spend them. #### Some benefits in a nutshell * The only points dashboard there is and you need: view your points and contribution across any integrated project or chain. * Trade points before TGE: turn points into liquid assets and trade them on the exchange. * Trustless points liquidity you can verify: every trade stays secured by onchain escrow so you get the tokens or the collateral. * Acquire contributions from others: buy the proof of work from others to skip the grind and get a stake in the value. * Points that act like assets: move your data out of isolated silos and turn it into programmable value. Some markets mint escrow tokens 1:1 against points, while non-custodial markets use USDC collateral to determine weighted minting on fill. Checkpoint Exchange is running at the moment on testnet Checkpoint Exchange alpha version application screenshot, light theme Checkpoint Exchange alpha version application screenshot, dark theme An important part of Checkpoint is that trades can be secured with collateral. The collateral is held in escrow until settlement, cancellation, or overdue handling. In practice this is USDC, and non-custodial markets can define an ideal USDC collateral-per-point target that influences weighted minting. Learn more about the Exchange inner workings. ## Creating and Filling Offers The market part of the exchange is a decentralized orderbook where users can either create or fill offers. ### Creating a Sell Offer Selling points requires users to have points to sell. For this, the user needs to have points on a platform that has been integrated to the Checkpoint Ecosystem and a market needs to be available for points to be traded. Users that want to sell points need to deposit their offchain points to be onchain. For this, the user needs to interact with the Deposit contract and verify that they have points to deposit. When a user deposits points, they receive a non-transferable NFT that represents the deposit onchain. This NFT becomes a record for users that they have onchain points to trade. A user needs to have enough available points to be able to make an offer. [Learn more about Checkpoint NFTs →](/core-products/checkpoint-point-nfts) After the user has deposited points, they can place a sell offer. A sell offer requires: * **Amount of points to sell** * **Price of the points sold** * **Collateral backing the sell offer** The collateral amount is separate from the price and acts as a security deposit. On non-custodial markets it also influences the escrow mint weight buyers receive when filling the offer. Those markets can enforce a minimum weight and define an ideal collateral-per-point target. **Offer Status** Offers have different statuses and behaviors depending on their state. * **Created**: Your offer is live and available for buyers to fill * **Filled**: Your offer has been completely filled by buyers * **Partially Filled**: Some buyers have filled part of your offer * **Settled**: The offer has been settled * **Cancelled**: You have cancelled the offer **Offer Management** Once you have created a sell offer, you can manage it through the UI. * You can only cancel offers that are in "Created" status * Partially filled offers cannot be cancelled, they must be settled * When you cancel an offer, you pay a cancellation fee When cancelling your collateral is returned minus protocol fees and your points become available again for new offers. Balance change can trigger [Shortfall Event](/architecture/market-trading#shortfall-of-points), enabling buyers to cancel offers within a time frame Settlement is the final phase where you receive payment for your sold points. Settlement occurs when a protocol's token launches and becomes available for distribution. **When Settlement begins** * Settlement is triggered when a protocol's token launches * No new offers can be created once settlement is active * Your existing offers must be settled according to their terms **Settlement Process for Sellers** * You must transfer the protocol tokens to the settlement contract * Your collateral is returned to you * You receive payment for the points you sold * A settlement fee is deducted from your payment If you miss the settlement deadline, your pending USDC and collateral are redistributed to escrow token holders. [Learn more about settlement →](/architecture/program-settlement) ### Filling a Buy Offer Buying points on Checkpoint Exchange means filling existing sell offers created by other users. You can either fill an entire offer or partially fill it with any amount you choose. Browse the orderbook to find offers for the points you want to buy. In the UI some of the elements you will see are * How many points are available * Price per point or total in USDC * How much has already been filled (if any) You cannot fill your own offers, you can only buy from other users' offers After choosing an offer, you will be able to fill partially or the entire offer. This is based on how much USDC you are committing to fill. A 50% fill warrants 50% of that offer's escrow issuance, whether that market mints 1:1 or uses collateral weighting. This system allows for flexible trading where you can buy exactly the amount of points you want, regardless of the offer size. Checkpoint does not currently have a secondary market for escrow tokens (chXXX) After filling an offer, the market mints escrow tokens (`chXXX`). On escrowable markets the mint is 1:1 with points. On non-custodial markets the mint amount depends on the offer's collateral weight. **Escrow tokens are not TGE Tokens** `chXXX` represents a user's escrow-side share in the market, not a guaranteed 1:1 amount of future TGE tokens. The protocol can also mint `fillExtra` to the treasury on every fill. This is a small inflation at the escrow layer and is used for seeding secondary market liquidity. `chXXX` can mint 1:1 or via collateral weighting depending on the market, but it is never a fixed promise of an equal number of TGE tokens. [Learn more about escrow settlement conversion →](/architecture/points-tokenization#2-escrow-token-chxxx-tokens) Settlement is the final phase where you receive the actual protocol tokens for your purchased points. Settlement occurs when a protocol's token launches and becomes available for distribution. **Settlement Process for Buyers** * You can claim your protocol tokens using your escrow tokens * The system calculates your share from the global settlement snapshot for that market * You receive the actual protocol tokens and may also receive a pro-rata share of any pooled USDC from overdue offers * Your escrow tokens are transferred into settlement as part of the claim flow **Overdue Settlement** * If a seller fails to provide their protocol tokens during settlement, the offer enters the overdue stage * The offer's filled USDC and collateral are added to the program-wide USDC pool **Cross-Chain Settlement** * Settlement can occur on different chains than where you bought the points * You'll receive your protocol tokens on the appropriate chain * You may need to claim tokens on a different chain than where you made the purchase [Learn more about settlement →](/architecture/program-settlement) Learn more about the Fee Structure. ## Explore Further Visit the Checkpoint Exchange to start trading points today Explore and learn about Checkpoints architecture # Points Oracle Source: https://docs.checkpoint.exchange/core-products/point-oracle Cryptographic verification system for offchain points Checkpoint Oracle title image, light theme Checkpoint Oracle title image, dark theme # Checkpoint Oracle The **Points Oracle** is Checkpoint's verification layer. It fetches points data from offchain sources and signs it with cryptographic signatures, making the data verifiable onchain. The Oracle is a core component of Checkpoint and is responsible for writing points data to the blockchain, verifying claims and settlement among other things. Checkpoint Points receipt Checkpoint verification layer ## Oracle Functionalities The Oracle serves two major functions: verifying offchain point deposits before they go onchain, and confirming settlement claims when protocols TGE. Fundamentally, these translate to various programmatic features: Validates cryptographic signatures from protocols to verify point claims Keeps your point balances updated automatically across all supported protocols Confirms that offers were settled correctly on-chain, on supported chains Provides vesting status checks and claimable amount calculations for settlement ## Oracle Process Breakdown The Oracle components can be further viewed more granularly by examining the Oracle's workflow Users request a short-lived authorization payload and sign it as the underlying points account owner The Oracle verifies that authorization, fetches the latest points balance, and signs the deposit claim The operator submits the Oracle-signed claim onchain so the confirmed balance becomes tradable After verification, users should receive a Soulbound [Checkpoint NFT](/core-products/checkpoint-point-nfts) Point balance changes across protocols automatically Crosschain settlement requirements Balance change can trigger a [Shortfall Event](/architecture/market-trading#shortfall-of-points), enabling buyers to cancel offers within a time frame Triggers settlement processes when protocols TGE Reconciles final token distributions with traded point amounts to ensure accurate settlement Coordinates token distribution across multiple chains using LayerZero infrastructure **Need Help?** Check out our [API documentation](/api/oracle-api) for detailed integration guides and examples. # Points Tracking Source: https://docs.checkpoint.exchange/core-products/point-tracking Monitor and analyze your points across all supported projects Checkpoint Tracking title, light theme Checkpoint Tracking title image, light theme # Checkpoint Points Tracking The **Points Tracking** component helps you monitor points for your wallet or any address across all supported projects. When the tool was shared with industry peers, they immediately asked for their own version, a way to view and track their personal points. That early interest gave rise to the [Points Aggregator](/core-products/point-aggregator). The first version drew inspiration from VFAT and DefiLlama, two pillars of DeFi and data transparency in the web3 ecosystem. As more users explored Checkpoint, the limitations of traditional incentivization models became increasingly clear. In response, core contributors expanded the project’s scope, leading to what is now Checkpoint Exchange. You can learn more about the core contributors on [blaze ](https://x.com/0xblaze_) and [synth ](https://x.com/0xSynth). ## What is Checkpoint Exchange? **Checkpoint Exchange** is the onchain layer that turns participation into tradable value. Users can view the points they have earned from contributing to protocols or projects and, when possible, trade those points through the exchange. Checkpoint represents a simple but powerful idea > **Merit should carry value** You contribute, you earn, and that effort should hold tangible weight. The points you earn reflect time, commitment, and belief in the protocols you support. They are easy to distribute, but historically difficult to recognize or monetize. Checkpoint seeks to change that. You deserve the ability to unlock value from what you have helped build and grow. Checkpoint enables this by giving you a transparent way to trade your efforts and track points as they evolve. At its core, Checkpoint is about making effort measurable, transferable, and meaningful. ## Checkpoint's Mission Checkpoint turns effort into lasting value and gives every contribution a place in the onchain economy. By tokenizing effort, Checkpoint lets users hold, trade, and prove the value they have created across protocols. Where contribution earns its place alongside capital as a tradable, measurable force. Building technology that transforms effort into measurable capital and reimagines how rewards evolve. ## Problems Solved ### Current State of Points Points exist in isolated silos across protocols and platforms, with no shared infrastructure or visibility. No unified way to view, verify, or aggregate earned value across ecosystems. Points have no inherent market or transferability before token generation event. Users and investors have no path to early realization of value. There’s no reliable mechanism to price contribution or forecast the worth. Points represent potential, not realized value. Leaving users with no clear sense of value to contribution. Only a small subset of users benefit from early allocations or insider access. Communities driving growth stay locked out of the reward cycle. Designed to close the gap between contribution and value, Checkpoint brings transparency and liquidity to the points economy. ### Our Solution A unified protocol for points, connecting offchain rewards with onchain liquidity and transparent value discovery. Checkpoint connects fragmented points systems into one transparent, interoperable network. Points become tradable digital assets, unlocking value before token generation event. A transparent system that confirms and standardizes points data across protocols for reliable value discovery. Anyone can view, trade, or integrate points systems, creating a fairer and more accessible market. ## Our Vision #### The Future of Points We envision a world where effort holds measurable value, where engagement fuels liquidity, and where innovation and interoperability define how value moves across ecosystems. **We believe that effort should lead to value** Meritable contributions, regardless of where they originate, should translate into measurable and transferable worth within a unified points economy. **We believe that value should have access to liquidity** Participants deserve the ability to exchange and realize what they have helped materialize, transforming effort into tradable, transparent capital. **We believe that innovation thrives in open systems** A composable, programmable infrastructure empowers builders and protocols to create new experiences on top of Checkpoint’s foundation. **We believe that technology should be borderless** Checkpoint’s architecture enables seamless integration across ecosystems, making points transferable and usable anywhere. ## Join Our Mission Check and trade your points today and unlock the value of your efforts. Projects reward your activity with points that eventually convert into tokens at a Token Generation Event (TGE). Until now, those points just sat there with no way to buy, sell or do anything with them. Checkpoint changes that by giving points a market. In one place you can: * View your points across 70+ integrated protocols * Deposit your points to make them tradeable * Buy points from other users or sell yours at a price you set * Track your full points history over time Your effort has value. Checkpoint gives it a market. Checkpoint connects points from 70+ protocols across various chains. The testnet runs on Arbitrum Sepolia, but you won't feel it. This guide walks you through the app and explains what to keep in mind when interacting with the protocol. Checkpoint Quickstart image banner, light theme Checkpoint Quickstart image banner, dark theme ## What is Checkpoint? Checkpoint is a decentralized protocol that bridges offchain loyalty points and rewards programs with onchain liquidity. It enables seamless tokenization, trading, and settlement of points before a Token Generation Event (TGE), giving users a way to bring real utility to their offchain rewards. Turning isolated points programs into a unified layer of value, where rewards can move freely, be verified, and find real market liquidity. Learn more about Checkpoints products and ecosystem. ## Getting Started ### Points Aggregator To get started with Checkpoint, you only need to navigate to the app and have an EVM compatible address. You do not have to connect your own wallet. Simply paste any address, ENS, or Clusters name to see the points allocated to it. Checkpoint automatically resolves the address and activates the Points Aggregator, giving you an overview of rewards collected across supported protocols. If you do not have an address yet, use any of these links to see it in action: * [**mrbang** ](https://checkpoint.exchange/?address=0x69155e7ca2e688ccdc247f6c4ddf374b3ae77bd6) (0x69155e7ca2e688ccdc247f6c4ddf374b3ae77bd6) * [**vitalik.eth** ](https://checkpoint.exchange/?address=0xd8da6bf26964af9d7eed9e03e53415d37aa96045) (0xd8da6bf26964af9d7eed9e03e53415d37aa96045) * [**khunchan.eth** ](https://checkpoint.exchange/?address=0x4cb75146e98562c9d79b31649c6c739e4dcb7cd5) (0x4cb75146e98562c9d79b31649c6c739e4dcb7cd5) The Points Aggregator only requires an EVM compatible address, but Checkpoint is built on a universal identifier model. The protocol is not limited to addresses and can work with any unique identifier capable of holding points. Built on a universal identifier model, supporting unique IDs to display integrated points. ### Points Exchange The Points Aggregator gives users an overview of collected points. The Exchange takes it a step further by allowing those points to be traded. To place an offer, users must own the wallet where the points are allocated to. Navigating markets does not require a wallet connection, but interacting with buy or sell offers does. The process differs slightly depending on the action being taken. After connecting a wallet, select the offer you wish to fill. Choose the quantity you want to purchase and press **buy** to initiate the transaction. First deposit your points. Once deposited, set the price, points amount, and collateral, then press **sell** to initiate listing your offer. ### Buying Points When buying tokenized points, you are entering into a fill agreement with the seller. This agreement is secured by an escrow smart contract that manages settlement once the Token Generation Event (TGE) occurs. It is recommended to understand how buying and settlement work before interacting with the protocol. [Learn more about the Points Exchange →](/core-products/point-exchange) Visit any supported market to view active offers. On standard escrowable markets, fills mint `chXXX` 1:1 with points. On non-custodial markets, stronger collateral backing can mint more `chXXX` for the same points amount. Select an offer you wish to fill, this will prompt the trade panel to interact with it. In the trade panel, adjust how much of the offer you want to fill. Committed funds will remain in the escrow smart contract until settlement or other parameters have been triggered. When ready, press **buy** to initiate the fill. Shortly after, your `chXXX` escrow tokens will arrive. These tokens follow the LayerZero Omnichain Fungible Token (OFT) standard, allowing you to bridge them across supported chains. On standard escrowable markets, the mint is 1:1 with the filled points amount. On non-custodial markets, the amount you receive depends on the offer's collateral weight. Checkpoint does currently not have a secondary market for chXXX ### Settlement for Buyers The funds you used to fill the order are held in an escrow smart contract. They are released to the seller only after the seller initiates a valid settlement. Settlement is not a 1:1 conversion between points and `chXXX` tokens. Final settlement is calculated pro-rata across the full market for that points program. If some sellers fail to settle on time, their filled USDC and collateral are pooled and redistributed globally to escrow holders. ### Selling Points Before selling any points, you must first deposit your accumulated points. This process mints a soulbound NFT to your wallet address, which enables you to sell deposited points on the Checkpoint Exchange. When creating a sell offer, you will need to define several parameters, including collateral to back the points you wish to sell. Once created, your offer escrows the collateral until settlement or other conditions are met. It is important to understand how the protocol operates before engaging with it. [Learn more about the Points Exchange →](/core-products/point-exchange) Go to any supported market where you hold eligible points. If you have not yet deposited points, or your balance has increased, visit the Deposit Points section to deposit your updated amount. Return to the trading panel and open the Sell tab. Enter your sell parameters, including price, points amount, and collateral. On non-custodial markets, each market can define an ideal USDC collateral-per-point target, and your collateral level affects how much `chXXX` buyers mint when they fill the offer. Committed collateral remains locked in the escrow smart contract until settlement or other parameters have been triggered. When ready, place your sell offer. This action locks the associated collateral and makes your offer available for buyers to fill. ### Settlement for Sellers When you initiate a sell offer, the collateral you provided is held in an escrow smart contract. Once a buyer fills your offer, their funds are also held in escrow until settlement. After settlement, your collateral and the buyer’s payment are released to you, minus protocol fees. You can cancel an open offer (subject to a cancellation fee) if it has not been filled. Offers that have been partially filled cannot be cancelled. Buyers may reverse an escrow if the oracle detects irregularities in point allocations. Failure to settle by the deadline moves your filled USDC and collateral into the market-wide redistribution pool for that points program. ## Explore Core Products Checkpoint offers a suite of products and features designed to bridge offchain rewards with onchain liquidity. Being listed on the aggregator is a prerequisite but not a guarantee for becoming a tradable market. If you want to see your favorite points system onboarded, here are the main things to keep in mind: Protocols listed on Checkpoint must provide an open and accessible points API. Stability is essential for the protocol to function properly. While not mandatory, having an engaged community increases the value of integration and ensures the data is meaningful to users. Also not required, but helpful for mapping total value locked (TVL) and related analytics. To list your project on Checkpoint, reach out to the team or join the community to begin the process. Power users may put a PR for integration. ## Foundation of the Points Economy Checkpoint’s onchain layer is built on a modular system of smart contracts that operate in sync. The five outlined below are essential to the protocol today, with more components being developed to expand its capabilities. **Central registry for all points programs with configurable parameters** * Program registration and management **Handles tokenization of offchain points into onchain assets** * Oracle-verified point deposits * Soulbound NFT minting for tracking **Cryptographic verification system for offchain claims** * ECDSA signature verification * Nonce-based replay protection * Time-based expiry validation **Decentralized order book for pre-TGE trading** * Collateral-based offer creation * USDC payment processing * Escrow token distribution * Order matching and settlement **Crosschain token distribution after TGE** * LayerZero message communication * Token distribution logic ## Get more Technical Dive deep into how Checkpoint works under the hood Explore the complete technical reference **Need Help?** Join our [Discord community](https://discord.gg/fJ5dJbxxTT) for technical support and discussions. # Introduction Source: https://docs.checkpoint.exchange/index Checkpoint Protocol Documentation: Check, track, trade and tokenize points.

Welcome to Checkpoint Welcome to Checkpoint, an open-source website-hosted software platform (the “Checkpoint Protocol” or the “Protocol”). These Terms of Use (“Terms”) govern your access to and use of both the `checkpoint.exchange` website (referred to as the “Site”) and the `app.checkpoint.exchange` interface (referred to as the “Interface”), collectively referred to as the “Services.” The Services are brought to you by Checkpoint (“we,” “us,” or “our”), a decentralized, community-governed protocol deployed on public blockchain networks and systems. The Protocol is comprised of smart contracts deployed on public blockchains, while the Site and Interface are informational and transactional front-ends that allow you to interact with those contracts. `checkpoint.exchange` and its subdomains provide information and resources about the decentralized non-custodial protocol called the Checkpoint Protocol, comprised of open-source self-executing smart contracts that are deployed on various permissionless public blockchains (such as Ethereum and other supported networks), as well as access points to independent front-end interfaces providing one of the available applications through which users, via their self-custodial wallets, interact with the Protocol. Through these interactions, users may, among other things, check and track point balances, create, modify, accept, and settle offers related to points, and otherwise trade, exchange, or tokenize points and point-linked assets. The Services may also display or make available Checkpoint-created points, scores, badges, campaign records, or similar non-transferable metrics (collectively, “Checkpoint Points”). Please note that these Terms are subject to mandatory arbitration. You agree that any disputes relating to the Services will be resolved by mandatory binding individual arbitration and that you waive any right to a trial by jury or to participate in a class-action lawsuit or class-wide arbitration. By accessing, browsing, and using our Services—various websites, including, without limitation, `checkpoint.exchange` and `app.checkpoint.exchange` (and any respective subdomains); applications; and other services that link to these Terms—as well as any information, text, links, graphics, video or other materials stored, whether accessed via the Site or otherwise, you signify that you have read, understand, and agree to be bound by these Terms in their entirety and other policies referenced herein (collectively, the “Agreement”). If you do not agree, you are not authorized to access nor use the Services. ## 2. Modification of Terms We may change, update or modify the Services, the Agreement, and any part of the Terms at any time, for any reason, at our sole discretion. Once any part of the Agreement is updated and in effect, you will be bound by the Terms, and your continued access and use of the Services serves as confirmation of your acceptance of those modifications. We may, at any time, and without liability to you, modify or discontinue all or part of the Services (including access to the Services via any third-party links). If you do not agree with any modifications to these Terms, you must immediately stop accessing and using the Services. ## 3. Eligibility To access or use the Services, the Interface or any aspect related to Checkpoint, you must be able to form a legally binding contract. Accordingly, you represent that you are at least the age of majority in your jurisdiction and have the full right, power, and authority to enter into and comply with the Terms on behalf of yourself and any company or legal entity for which you may access or use the Services. You represent that your access and use of the Services will fully comply with all applicable laws and regulations, and that you will not access or use the Services to conduct, promote, or otherwise facilitate any illegal activity. Furthermore, you represent that you are not subject to economic or trade sanctions enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties. Additionally, you are not a citizen, resident, or organized in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions such as Myanmar, Côte D'Ivoire, Cuba, Crimea and Sevastopol, the so-called Donetsk People’s Republic, Democratic Republic of Congo, Iran, Iraq, Libya, the so-called Luhansk People’s Republic, Mali, Nicaragua, Democratic People’s Republic of Korea (North Korea), Somalia, Sudan, Syria, Yemen, Zimbabwe or any other country to which Canada, the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions. Our Interface is NOT offered to persons or entities who reside in, are citizens of, are incorporated in, or have a registered office in the United States of America or any Prohibited Localities. If you are a Restricted Person, do not attempt to access or use the Interface. We make no representations or warranties that the information, products, or services provided through our Interface are appropriate for access or use in other jurisdictions. You are not permitted to access or use our Interface in any jurisdiction or country if it would be contrary to the law or regulation of that jurisdiction or if it would subject us to the laws of, or any registration requirement with, such jurisdiction. While the Interface does not custody or hold any assets of users, rendering Checkpoint incapable of “blocking” assets, we reserve the right to limit the availability of our Interface to any person, geographic area, or jurisdiction, at any time and at our sole and absolute discretion. We are under no obligation to make restrictions, or the rationale underlying such restrictions, public. You must not use any software or networking techniques, including use of a Virtual Private Network (VPN), to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition. ## 4. About the Services ### 4.1 Services Checkpoint is an informational and transactional resource about the Protocol; however, it is not the exclusive or sole source. All information provided in connection with your access and use of the Services is intended for informational purposes only. While we strive to provide accurate and reliable information, we cannot guarantee the accuracy, completeness, or timeliness of the information provided. It is possible that the information may be outdated or subject to errors or omissions. You should not take, or refrain from taking, any action based on any information contained on `checkpoint.exchange` or any sub-domain including, without limitation, `docs.checkpoint.exchange` or any other information that we make available at any time, including blog posts, data, articles, links to third-party content, community content (e.g., Discord), news feeds, tutorials, and social media posts. You further acknowledge and agree that we will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such site or resource. ### 4.2 Online platform; your assets You acknowledge and agree that Checkpoint is an online platform provider and not a broker-dealer, exchange, money transmitter, lender, or custodian. It is important to understand that neither we nor any affiliated entity is a party to any transaction on the blockchain networks underlying the Protocol; we do not have possession, custody, or control over any digital assets, or any user’s funds at any time. All transactions are effected directly between your self-custodial wallet and the Protocol smart contracts. You understand that when you interact with the Protocol, including checking points, creating or accepting offers, settling trades, or otherwise using any exchange or marketplace functionality, you retain control over your digital assets through your self-custodial wallet, and settlement occurs solely on-chain via those smart contracts, not via any wallet or account controlled by Checkpoint. ### 4.3 Assets in your custody Users use third-party self-custodial wallets to interact with the Protocol; we have no control or guarantee over those wallets. To interact with the Protocol using the Interface, you will need to connect and engage with it through your self-custodial wallet. It is essential to understand that your self-custodial wallet is provided by a third-party entity and is generally governed by separate terms and conditions set by the respective third-party service provider. These terms and conditions may involve additional fees, disclaimers, or risk warnings regarding the accuracy and reliance on the provided information. Reviewing and comprehending the terms and conditions associated with your chosen self-custodial wallet provider to ensure compliance and to be aware of any applicable charges or risks is your sole responsibility. ### 4.4 No intermediaries in transactions We are not intermediaries to Protocol transactions. Due to the non-custodial and decentralized nature of the technology, we are not intermediaries, agents, advisors, or custodians, and we do not have a fiduciary relationship or obligation to you regarding any decisions or activities that you effect when using our Services. By using the Services, you acknowledge and agree that we are not responsible for the operation of the blockchain-based software and networks underlying the Protocol, that there exists no guarantee of the functionality, security, or availability of that software and those networks, and that the underlying blockchain-based networks are subject to sudden changes in operating rules. ### 4.5 Publicly on blockchains We have no information about all Protocol transactions beyond what is publicly available via the blockchain. The Protocol is deployed on multiple blockchain-based networks, and we are not responsible for the operation or information of such networks. You acknowledge that we do not have information regarding all Protocol transactions beyond what is available or obtainable publicly via the blockchain. When you create or interact with offers, trades, or other protocol actions through the Interface, the associated transaction details (including involved addresses and on-chain parameters) are recorded on public blockchain networks and may be publicly viewable and linkable to your wallet address. ### 4.6 Blockchain fees Transactions using blockchains may require the payment of gas fees, which are essentially network transaction fees paid on every transaction that occurs on the selected blockchain network. Please note that gas fees are non-refundable. We do not deliver, hold, or receive payment for digital assets, operate omnibus or client asset accounts, or provide custody, brokerage, or off-chain settlement services to users. ### 4.7 Communication You may elect to receive notifications or other communications from Checkpoint in connection with the Services. If you elect to receive communications in connection with your positions or protocol interactions, you agree and acknowledge that Checkpoint is under no obligation to send any emails or communicate with you regarding such positions and that Checkpoint will not be responsible or liable to you for any loss and takes no responsibility for, and will not be liable to you for, failure of such email or communication. ### 4.8 No solicitation You acknowledge and comprehend that any transfers, offers, trades, staking, or other transactions you undertake using transaction data supplied by the Site are deemed unsolicited. This signifies that you have not received any investment guidance in relation to such actions, and that we do not conduct a suitability assessment for any such transaction. ### 4.9 No investment advice You agree and understand that the information provided by the Site is solely for informational purposes and should not be interpreted as investment advice. It is your sole responsibility to assess whether any interaction with the Protocol, any strategy, or any associated transaction aligns with your individual investment goals, financial situation, and risk tolerance. We do not provide investment recommendations on the viability of any investment transaction or opportunity and neither do we invite you to deal in digital assets. ### 4.10 Wallet tracking and analytics The Services may allow you to input, connect, or select blockchain addresses (including your own or third-party addresses) in order to view balances, historical activity, points, offers, and other data associated with those addresses (the “Wallet Tracker” or similar functionality). This may include on-chain point and token data read from public blockchain networks, as well as certain off-chain point balances or metrics reported by third-party Programs or data providers. Checkpoint does not control or modify underlying on-chain data, does not issue or control third-party off-chain points, and does not custody any assets associated with the tracked addresses. You are solely responsible for ensuring that your use of any wallet tracking or analytics features is lawful in your jurisdiction and respects any applicable privacy or data-use obligations. We do not guarantee the completeness, accuracy, labeling, source, or timeliness of any on-chain or off-chain data or analytics shown in connection with the Wallet Tracker, and you should not rely on such information as the sole basis for any decision. Any balances, points, prices, eligibility indicators, leaderboards, rankings, estimated values, market data, analytics, or similar information displayed through the Services may be incomplete, delayed, incorrect, unavailable, or based on third-party data. Such information is provided for convenience only and does not create any representation, warranty, entitlement, or obligation by Checkpoint. ### 4.11 Third-party point programs and markets The Protocol and Services may surface or interact with points, scores, or other metrics associated with third-party loyalty programs, protocols, or platforms (collectively, “Programs”). Any rules, calculations, issuance, redemption, conversion into tokens, or other treatment of such points or metrics are determined solely by the relevant Program or its operators. Checkpoint does not control, operate, or guarantee any Program, and has no ability to compel any Program to honour, redeem, convert, or tokenize points. You acknowledge that: * Point balances, valuations, redemption rates, conversion ratios, and token issuance (if any) for any Program are set and may be changed, suspended, or discontinued at any time by the relevant Program or its operators, without notice to Checkpoint. * Checkpoint has no control over and accepts no responsibility or liability for any decision by a Program to change how points are earned, valued, displayed, redeemed, or whether any tokens are ever issued in respect of such points. * Prices, spreads, and liquidity for any on-chain markets, offers, or trades involving points or point-linked assets are determined by users and market participants, not by Checkpoint. Market conditions may change rapidly and can result in partial or total loss of value. You agree that Checkpoint is not responsible or liable for any losses, opportunity costs, or foregone rewards arising from (a) changes made by any Program, including a decision not to issue tokens in respect of points, or (b) any market dynamics, including volatility, illiquidity, or inability to close or offset a position related to points or point-linked assets. ### 4.12 Checkpoint Points Checkpoint Points are off-chain records used for engagement, reputation, access, campaigns, analytics, or similar purposes within the Services. They are separate from any third-party points, point-linked assets, or markets that may be available through the Protocol or Services. Checkpoint Points are not digital assets, tokens, cryptoassets, virtual currency, money, stored value, rewards currency, securities, commodities, derivatives, financial instruments, or property. They do not create any ownership interest, governance right, voting right, claim, account balance, deposit, custodial asset, contractual right, or right to receive tokens, digital assets, money, services, discounts, allocations, airdrops, distributions, or other benefits. Checkpoint Points have no cash, monetary, market, redemption, exchange, transfer, or conversion value. They are not redeemable, exchangeable, transferable, withdrawable, saleable, or convertible by you for cash, tokens, digital assets, goods, services, benefits, or any other value. You should not rely on Checkpoint Points as having any present, future, expected, implied, or potential value, and you should not interact with Checkpoint Points for investment, speculative, financial, or profit-seeking purposes. Any display, accrual, collection, calculation, leaderboard, campaign, endpoint, API response, or other record relating to Checkpoint Points is provided for informational and internal protocol/community purposes only. Such records may be changed, corrected, reset, removed, suspended, discontinued, or made unavailable at any time, with or without notice. Any future use, recognition, eligibility, or treatment of Checkpoint Points is entirely discretionary and may be determined, changed, suspended, or declined by Checkpoint, the Protocol, any DAO, any governance process, or any current or future team, contributor, service provider, affiliate, or successor. No statement, display, communication, endpoint, campaign, documentation, community post, roadmap, integration, or other information creates any promise, representation, warranty, obligation, or commitment that Checkpoint Points will have value, utility, redemption, conversion, reward treatment, or token treatment. To the maximum extent permitted by law, you waive and release any claim against any Checkpoint Indemnified Party arising from or relating to Checkpoint Points, including any claim based on their issuance, non-issuance, accrual, non-accrual, display, calculation, correction, reduction, deletion, modification, suspension, discontinuation, non-conversion, non-redemption, non-recognition, or alleged value. ### 4.13 APIs, endpoints, and automated access The Services may include APIs, endpoints, data feeds, integrations, or other technical access points that make points, market, campaign, eligibility, analytics, or other data available. Unless we expressly agree otherwise in writing, such access is provided on an “as is” and “as available” basis, may be rate-limited, changed, suspended, or discontinued at any time, and may not be complete, accurate, current, or suitable for any particular purpose. You are responsible for your use of any API, endpoint, integration, or data feed, including any use by applications, bots, agents, scripts, or other automated systems acting on your behalf. You must not use the Services or any API, endpoint, integration, or data feed to manipulate points, rankings, markets, campaign eligibility, referrals, rewards, analytics, or user activity; to scrape, harvest, or resell data in violation of applicable law or third-party rights; to bypass rate limits or access controls; or to interfere with the normal operation of the Services. ### 4.14 Checkpoint Pro, Premium, and enhanced features The Services may offer enhanced, paid, invite-only, promotional, or limited-access features, plans, or tiers, including features referred to as “Checkpoint Pro,” “Checkpoint Premium,” or similar names. These features may include, for example, access to a longer history of points or activity data, the ability to track multiple wallet addresses, additional analytics, alerts, exports, API limits, or other enhanced functionality. Unless expressly stated otherwise in writing, any feature descriptions, plan names, usage limits, data windows, tracked-wallet limits, retention periods, or access levels are provided for general product information only and may be changed, corrected, limited, suspended, or discontinued at any time. Access to more days of data, additional tracked wallets, or similar enhanced functionality does not guarantee that any data will be complete, accurate, current, uninterrupted, recoverable, or available for any particular address, Program, chain, market, period, or use case. You are responsible for the wallet addresses, identifiers, alerts, lists, labels, exports, and other information you add to or use with any enhanced feature. You should only track wallet addresses where your tracking is lawful and consistent with any applicable privacy, contractual, or third-party obligations. Checkpoint is not responsible for losses, missed opportunities, incorrect decisions, privacy issues, or other harm arising from your use of enhanced features, unavailable data, incorrect data, delayed data, changes to plan limits, or your tracking of any wallet address. If any enhanced feature is offered for a fee, fees, billing terms, renewal terms, cancellation rights, taxes, refunds, and payment processing terms may be displayed at the point of purchase or handled by a third-party payment provider. Unless required by applicable law or expressly stated otherwise in writing, fees are non-refundable and access may be modified, suspended, or terminated in accordance with these Terms. ### 4.15 Exchange, escrow, collateral, and settlement The Services may allow users to create, modify, accept, fill, cancel, settle, or otherwise interact with offers, markets, escrow contracts, escrow tokens, collateral, settlement contracts, oracle claims, and related protocol features. These features are executed by self-executing smart contracts and blockchain networks. Checkpoint does not custody user funds, does not operate an off-chain order book or settlement desk, does not guarantee execution or settlement, and is not a counterparty to any offer, fill, escrow, collateral deposit, claim, redemption, settlement, or other Protocol transaction. When you create or fill an offer, provide collateral, receive escrow tokens, participate in settlement, or interact with any exchange or escrow feature, you are solely responsible for understanding the applicable market parameters, fees, collateral requirements, cancellation limits, settlement deadlines, vesting terms, oracle requirements, chain requirements, token requirements, and smart contract behavior. Protocol actions may be irreversible, may lock funds or collateral, may require additional actions by you or other users, and may result in partial or total loss depending on market conditions, smart contract behavior, third-party Program decisions, oracle data, seller performance, buyer behavior, deadlines, fees, liquidity, and other factors. Escrow tokens, deposit receipts, collateral records, settlement claims, or other point-linked assets do not guarantee that any third-party Program will issue tokens, that any specific conversion ratio will apply, that settlement will occur by any deadline, that a secondary market will exist, or that you will receive any particular amount of tokens, USDC, collateral, proceeds, or value. Any settlement, overdue handling, redistribution, pro-rata calculation, vesting release, collateral return, fee deduction, claim, or redemption is determined by the applicable smart contracts, market configuration, oracle data, and settlement rules. You acknowledge that sellers may fail to settle, points balances may change, Programs may change or discontinue their point or token rules, oracle data may be unavailable or disputed, cross-chain messaging or settlement may fail or be delayed, markets may be illiquid or volatile, and fees or parameters may affect the outcome of a transaction. Checkpoint is not responsible for any losses, missed opportunities, failed transactions, failed settlements, incorrect assumptions, delayed claims, unavailable liquidity, shortfalls, redistributions, overdue settlements, oracle errors, Program changes, or smart contract outcomes arising from your use of exchange, escrow, collateral, or settlement features. ## 5. Assumptions of Risk ### 5.1 Nascent technology You assume the risks of engaging in novel and experimental technology. Technologies such as smart contracts on various blockchains, cryptographic tokens generated by the smart contracts, oracle systems, point systems, Checkpoint Points, and other nascent software, applications, and systems that interact with blockchain-based networks are experimental, speculative, inherently risky, and subject to change. Among other risks, bugs, malfunctions, cyberattacks, or changes to the applicable blockchain could disrupt these technologies and even result in a total loss of digital assets, their market value, point-linked assets, or any displayed point records. We assume no liability or responsibility for any such risks. If you are not comfortable assuming these risks, you should not access or engage in transactions using blockchain-based technology. You recognize and assume the risk of potential loss of some or all of the value of your digital assets and acknowledge that Checkpoint Points have no value to lose. ### 5.2 Third-party liability We are not liable nor responsible for the content or services of any third-party, including, without limitation, any network or apps like Telegram, Twitter, Discord or wallet providers such as MetaMask, and we make no representations regarding the content or accuracy of any third-party services or materials. The use and access of any third-party products or services, including through the Services, are at your own risk. Please note that we do not have control over third-party services. Consequently, we cannot guarantee, endorse, or recommend such content or services to users of the Interface, nor can we endorse their use for any specific purpose. ### 5.3 Automated immutable smart contracts You acknowledge and agree that all transactions accessed through the blockchain-based networks will be automatically processed using one or more smart contracts. By engaging in transactions using the Services, you acknowledge and consent to the automatic processing of all transactions in connection with using the Services, whether collection or disbursement of proceeds or something else. You further acknowledge and agree that the applicable smart contract will dictate how the funds of a transaction and ownership of digital assets are distributed. ### 5.4 Risks of using the Services You acknowledge and bear sole responsibility for evaluating the Services and risks before using them, and all transactions on the blockchain are irreversible, final, and without refunds. The Services may be disabled, disrupted, or adversely impacted as a result of sophisticated cyber-attacks, surges in activity, computer viruses, and/or other operational or technical challenges, among other things. We disclaim any ongoing obligation to notify you of all the potential risks of using and accessing our Services. You agree to accept these risks and agree that you will not seek to hold any Checkpoint indemnified party responsible for any consequent losses. ### 5.5 Responsibility of your self-custodial wallet You understand and agree that you are solely responsible for maintaining the security of your self-custodial wallet. You alone are responsible for securing your private keys. We do not have access to your private keys. Any unauthorized access to your self-custodial wallet by third parties could result in the loss or theft of any digital asset or funds held in your account and any associated accounts. You understand and agree that we have no involvement in, and you will not hold us responsible for, managing and maintaining the security of your self-custodial wallet. The private key associated with the self-custodial wallet address from which you transfer digital assets is the only private key that can control the digital assets you transfer into the smart contracts. ### 5.6 Right to restrict access You agree that we have the right to restrict your access to the Services via any technically available methods if we suspect, in our sole discretion, that you are not eligible to use the Interface or Services. ### 5.7 Risk of accessibility As a condition to accessing or using the Services, you acknowledge, understand, and agree that from time to time, the Services may be inaccessible or inoperable for any reason, including, but not limited to, equipment malfunctions, periodic maintenance procedures or repairs, causes beyond our control or that we could not reasonably foresee, disruptions and temporary or permanent unavailability of underlying blockchain infrastructure or unavailability of third-party service providers or external partners for any reason. You acknowledge and agree that you will access and use the Services at your own risk. You should not engage in blockchain-based transactions unless it is suitable given your circumstances and financial resources. By using the Services, you represent that you have been, are, and will be solely responsible for conducting your own due diligence into the risks of a transaction and the underlying smart contracts and digital assets. ### 5.8 Risk of taxation You are responsible for your taxes and duties. Users bear sole responsibility for paying any and all taxes, duties, and assessments now or hereafter claimed or imposed by any governmental authority associated with their use of the Services and/or payable as a result of using and/or exploiting any digital assets and interacting with smart contracts. Blockchain-based transactions are novel, and their tax treatment is uncertain. ## 6. Proprietary Rights Checkpoint and its related entities (if any) own all intellectual property and other rights in the Services and their contents, including (but not limited to) software, text, images, trademarks, service marks, copyrights, patents, and designs. The Protocol is comprised of source-available software running on public distributed blockchains. Checkpoint reserves the rights to modify, substitute, eliminate, add, disable, delete, or remove any and all content pertaining to the Services. Use of or access to the Services does not grant you any ownership or other rights therein. ## 7. Prohibited Activities You may only use the Services if you comply with this Agreement (including, without limitation, these Terms), applicable third-party policies, and all applicable laws, rules, regulations, and related guidance. The following activities are prohibited: * Activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law. * Activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including (but not limited to) the deployment of viruses and denial of service attacks. * Activity that seeks to defraud us or any other person or entity, including (but not limited to) providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another, and impersonating any person or entity or otherwise misrepresenting your affiliation with a person or entity. * Activity that manipulates, exploits, farms, automates, fabricates, or misrepresents points, Checkpoint Points, referrals, rankings, campaign eligibility, wallet activity, user activity, market activity, or API responses. * The use of any means, including masking your IP address or using a proxy IP address or virtual private network, to bypass or circumvent any security and/or compliance measures taken by Checkpoint with respect to Services access. * Violating any applicable federal, state, local, national, or international law, or any regulations having the force of law, including any laws or regulations concerning the integrity of trading markets (e.g., manipulative tactics commonly known as spoofing and wash trading) or trading of securities or derivatives and furthering or promoting any criminal activity or enterprise or providing instructional information about illegal activities. You agree and acknowledge that if you use the Services to engage in conduct prohibited by applicable law, we permanently reserve the right to completely or partially restrict or revoke your access to the Services, either completely or for a period of time, at our sole discretion. We reserve the right to amend, rectify, edit, or otherwise act upon transaction data to remediate or mitigate any damage caused either to us or to any other person as a result of a user’s violation of this Agreement or applicable law, to the extent permitted by the underlying protocols. We reserve the right to investigate and prosecute any suspected breaches of this Agreement, including the Terms. We may disclose any information as necessary to satisfy any law, regulation, legal process, or governmental request. ## 8. Warranty Disclaimer THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. WE AND OUR PARENTS, SUBSIDIARIES, AFFILIATES, RELATED COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, AND LICENSORS (COLLECTIVELY, THE “CHECKPOINT INDEMNIFIED PARTIES”) MAKE NO GUARANTEES OF ANY KIND IN CONNECTION WITH THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE CHECKPOINT INDEMNIFIED PARTIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT AND DISCLAIM ALL RESPONSIBILITY AND LIABILITY FOR: * THE SERVICES BEING ACCURATE, COMPLETE, CURRENT, RELIABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. ANY RELIANCE ON THE SERVICES IS AT YOUR OWN RISK. * INJURY OR DAMAGE RESULTING FROM THE SERVICES. * VIRUSES, WORMS, TROJAN HORSES, MALWARE, OR OTHER TYPE OF MALICIOUS CODE THAT MAY BE USED IN ANY WAY TO AFFECT THE FUNCTIONALITY OR OPERATION OF THE SERVICES. Some jurisdictions do not allow the exclusion or limitation of certain warranties and liabilities provided in this section; accordingly, some of the above limitations and disclaimers may not apply to you. To the extent applicable law does not permit the Checkpoint Indemnified Parties to disclaim certain warranties or limit certain liabilities, the extent of Checkpoint Indemnified Parties’ liability and the scope of any such warranties will be as permitted under applicable law. ## 9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ANY CHECKPOINT INDEMNIFIED PARTY BE LIABLE TO YOU FOR ANY LOSS, DAMAGE, OR INJURY OF ANY KIND INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE LOSSES OR DAMAGES, OR DAMAGES FOR SYSTEM FAILURE OR MALFUNCTION OR LOSS OF PROFITS, DATA, USE, BUSINESS OR GOOD-WILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: * THE SERVICES OR YOUR INABILITY TO USE OR ACCESS THE SERVICES; * MISUSE OF THE SERVICES (INCLUDING WITHOUT LIMITATION, UNAUTHORIZED ACCESS OF THE SERVICES); * ANY USER CONDUCT ON THE SERVICES; * ANY CHECKPOINT POINTS, INCLUDING THEIR ISSUANCE, NON-ISSUANCE, DISPLAY, CALCULATION, MODIFICATION, REMOVAL, DISCONTINUATION, LACK OF VALUE, LACK OF CONVERSION, OR LACK OF REDEMPTION; * TERMINATION, SUSPENSION OR RESTRICTION OF ACCESS TO ANY OF THE SERVICES. IN ADDITION TO THE FOREGOING, NO CHECKPOINT INDEMNIFIED PARTY SHALL BE LIABLE FOR ANY DAMAGES CAUSED IN WHOLE OR IN PART BY: * USER ERROR, SUCH AS FORGOTTEN PASSWORDS OR INCORRECTLY CONSTRUCTED SMART CONTRACTS OR OTHER TRANSACTIONS; * SERVER FAILURE OR DATA LOSS; * THE MALFUNCTION, UNEXPECTED FUNCTION OR UNINTENDED FUNCTION OF THE BLOCKCHAIN, ANY COMPUTER OR CRYPTOASSET NETWORK (INCLUDING ANY WALLET PROVIDER), INCLUDING WITHOUT LIMITATION LOSSES ASSOCIATED WITH NETWORK FORKS, REPLAY ATTACKS, DOUBLE-SPEND ATTACKS, SYBIL ATTACKS, 51% ATTACKS, GOVERNANCE DISPUTES, MINING DIFFICULTY, CHANGES IN CRYPTOGRAPHY OR CONSENSUS RULES, HACKING, OR CYBERSECURITY BREACHES; * ANY CHANGE IN VALUE OF ANY CRYPTOASSET OR POINT-LINKED ASSET; * ANY CHANGE IN LAW, REGULATION, OR POLICY; * EVENTS OF FORCE MAJEURE; * ANY THIRD PARTY. THIS LIMITATION OF LIABILITY IS INTENDED TO APPLY WITHOUT REGARD TO WHETHER OTHER PROVISIONS OF THESE TERMS HAVE BEEN BREACHED OR HAVE PROVEN INEFFECTIVE. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE ASSERTED LIABILITY OR DAMAGES ARE BASED ON CONTRACT, INDEMNIFICATION, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT THE CHECKPOINT INDEMNIFIED PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE. IN NO EVENT WILL THE CHECKPOINT INDEMNIFIED PARTIES’ CUMULATIVE LIABILITY TO YOU OR ANY OTHER USER, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY EXCEED FIFTY U.S. DOLLARS (U.S. \$50.00). UNDER NO CIRCUMSTANCES SHALL ANY CHECKPOINT INDEMNIFIED PARTY BE REQUIRED TO DELIVER TO YOU ANY VIRTUAL CURRENCY AS DAMAGES, MAKE SPECIFIC PERFORMANCE, OR ANY OTHER REMEDY. ## 10. Indemnification You agree to indemnify, defend, and hold harmless the Checkpoint Indemnified Parties from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: * Your breach or alleged breach of the Agreement (including, without limitation, these Terms); * Anything you contribute to the Services; * Your misuse of the Services, or any smart contract and/or script related thereto; * Your use or misuse of any points, Checkpoint Points, API, endpoint, data feed, campaign, leaderboard, referral mechanism, eligibility process, or analytics feature; * Your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities; * Your violation of the rights of any third party, including any intellectual property right, publicity, confidentiality, property, or privacy right; * Your use of a third-party product, service, and/or website; * Any misrepresentation made by you. We reserve the right to assume, at your expense, the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of any claim. You will not in any event settle any claim without our prior written consent. ## 11. Dispute Resolution The terms of this Section shall apply to all Disputes between you and Checkpoint. For the purposes of this Section, “Dispute” shall mean any dispute, claim, or action between you and Checkpoint arising under or relating to your access or use of the Services, these Terms, or any other transaction involving you and Checkpoint, whether in contract, warranty, misrepresentation, fraud, tort, intentional tort, statute, regulation, ordinance, or any other legal or equitable basis, and shall be interpreted to be given the broadest meaning allowable under law. Prior to commencing any legal proceeding against us of any kind in any jurisdiction, including an arbitration as set forth below, you will attempt to resolve the Dispute in good faith negotiations. Such good faith negotiations require, at a minimum, that you provide us with a written notice via email to specify the nature and details of the Dispute. We shall have thirty (30) days to respond to the notice. Within sixty (60) days after you sent the initial notice, the parties shall meet and confer in good faith by videoconference, or by telephone, to try to resolve the Dispute. If the parties are unable to resolve the Dispute within ninety (90) days after you sent the initial notice, the parties may agree to mediate their Dispute, or either party may submit the Dispute to arbitration as set forth below. ### 11.1 Agreement to Arbitrate You and we agree that any Dispute that cannot be resolved through the procedures set forth above will be resolved through binding arbitration in accordance with the International Arbitration Rules of a recognized international arbitration institution. The place of arbitration shall be designated by Checkpoint (or its primary operating entity, if any), unless otherwise required by law. The language of the arbitration shall be English. The arbitrator(s) shall have experience adjudicating matters involving Internet technology, software applications, financial transactions, and, ideally, blockchain technology. The arbitrator’s award of damages must be consistent with the terms of the “Limitation of Liability” subsection of these Terms as to the types and amounts of damages for which a party may be held liable. The prevailing party will be entitled to an award of their reasonable attorney’s fees and costs. You agree that this arbitration provision applies not just to disputes with Checkpoint but also to disputes with any other party named or added as a co-defendant along with Checkpoint at any time during a court action. Any such co-defendant or defendant is a third-party beneficiary entitled to enforce this arbitration provision. You agree to keep any arbitration strictly confidential. YOU ACKNOWLEDGE AND AGREE THAT YOU AND WE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND WE OTHERWISE AGREE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF ANY CLASS OR REPRESENTATIVE PROCEEDING. ### 11.2 Changes By rejecting any changes to these Terms (where such rejection is permitted by law), you agree that you will arbitrate any Dispute between you and us in accordance with the provisions of this section as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms). ## 12. Waiver of Injunctive or Other Equitable Relief TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT YOU WILL NOT BE PERMITTED TO OBTAIN AN INJUNCTION OR OTHER EQUITABLE RELIEF OF ANY KIND, SUCH AS ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF THE SERVICES, OR ANY OTHER WEBSITE, APPLICATION, CONTENT, SUBMISSION, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED OR CONTROLLED BY ANY CHECKPOINT INDEMNIFIED PARTY. ## 13. Termination; Cancellation This Agreement is effective unless and until terminated by either you or us. You may terminate your Agreement with us at any time by ceasing all access to the Services. If, in our sole judgment, you fail, or we suspect that you have failed, to comply with any term or provision of the Agreement (including without limitation any provision of these Terms), we reserve the right to terminate our Agreement with you and deny you access to the Services. We further reserve the right to restrict your access to the Services or to stop providing you with all or a part of the Services at any time and for no reason, including, without limitation, if we reasonably believe: (a) your use of the Services exposes us to risk or liability; (b) you are using the Services for unlawful purposes; or (c) it is not commercially viable to continue providing you with our Services. All of these are in addition to any other rights and remedies that may be available to us, whether in equity or at law, all of which we expressly reserve. WE RESERVE THE RIGHT TO MODIFY THE SERVICES AT ANY TIME, BUT WE HAVE NO OBLIGATION TO UPDATE THE SERVICES. YOU AGREE THAT IT IS YOUR RESPONSIBILITY TO MONITOR CHANGES TO THE SERVICES THAT MAY AFFECT YOU. YOU AGREE THAT WE MAY REMOVE THE SERVICES AND/OR ANY CONTENT THEREON FOR INDEFINITE PERIODS OF TIME OR CANCEL THE SERVICES AT ANY TIME, WITHOUT NOTICE TO YOU. ## 14. Severability If any provision of the Agreement (including, without limitation, these Terms) is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from the Agreement. Such determination shall not affect the validity and enforceability of any other remaining provisions. ## 15. Assignment The Agreement (including, without limitation, these Terms) may be assigned without your prior consent to any Checkpoint Indemnified Party, or to its successors in the interest of any business associated with the Services provided by us. You may not assign or transfer any rights or obligations under the Agreement without our prior written consent. ## 16. Entire Agreement The Agreement (including, without limitation, these Terms, and the Privacy Policy) and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of these Terms). Any failure by us to exercise or enforce any right or provision of the Agreement (including, without limitation, these Terms) shall not constitute a waiver of such right or provision. ## 17. Governing Law All actions arising out of the Terms of this Agreement or relating to the Terms of this Agreement shall be governed by the laws of the jurisdiction in which Checkpoint’s primary operating entity (if any) is organized, without regard to conflict of law principles, except where otherwise required by mandatory law. ## 18.
